1. Agreement to Terms

By accessing or using the services of Yash Ads, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

Yash Ads provides the following services:

• Outdoor advertising (OOH) including hoardings, billboards, bus shelters, and transit advertising
• Branding and fabrication including signages, kiosks, standees, and display units
• Stretch ceiling solutions for commercial and residential spaces
• Printing services including banners, vinyl, and large format printing

3. Quotations and Pricing

• All quotations provided are valid for 15 days from the date of issue unless otherwise specified.
• Prices are subject to change based on material costs, scope changes, and market conditions.
• Quotations do not include applicable taxes (GST) unless explicitly mentioned.
• Final pricing will be confirmed upon order confirmation and may vary based on actual site conditions.

4. Orders and Payment

• Orders are confirmed only upon receipt of advance payment as specified in the quotation.
• Standard payment terms: 50% advance, 50% on completion (unless otherwise agreed).
• Payments can be made via bank transfer, UPI, or cheque in favor of "Yash Ads".
• Delayed payments may attract interest at 18% per annum.

5. Delivery and Installation

• Delivery timelines are estimates and may vary based on material availability and site conditions.
• Installation will be scheduled upon confirmation and site readiness.
• Client must ensure site access and necessary permissions for installation.
• Any delays caused by client-side issues may result in additional charges.

6. Intellectual Property

• All designs, artwork, and creative materials created by Yash Ads remain our intellectual property until full payment is received.
• Upon full payment, clients receive a license to use the deliverables for the intended purpose.
• Clients must provide necessary licenses and permissions for any third-party content (logos, images, trademarks) used in their projects.
• Yash Ads reserves the right to showcase completed projects in our portfolio.

7. Cancellations and Refunds

• Cancellations must be communicated in writing.
• Cancellations before production: 75% refund of advance payment.
• Cancellations during production: Refund based on work completed and materials procured.
• No refunds after installation or delivery of completed work.
• Custom or personalized items are non-refundable.

8. Warranty and Liability

• Fabrication products come with a warranty period as specified in the quotation (typically 1 year for manufacturing defects).
• Warranty does not cover damage due to natural disasters, vandalism, improper use, or third-party interference.
• Yash Ads's liability is limited to the value of the specific product/service in question.
• We are not liable for any indirect, consequential, or incidental damages.

9. Client Responsibilities

The client agrees to:

• Provide accurate information and timely approvals
• Obtain necessary permissions from authorities for outdoor installations
• Ensure the content complies with advertising standards and regulations
• Provide safe and accessible site conditions for installation

10. Compliance with Laws

All advertising content must comply with:

• The Advertising Standards Council of India (ASCI) guidelines
• Local municipal corporation rules and regulations
• Relevant state and central government advertising laws
• Consumer Protection Act and related regulations

11. Force Majeure

Yash Ads shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, strikes, government actions, pandemic, or supply chain disruptions.

12. Dispute Resolution

Any disputes arising from these terms shall be resolved through:

• Good faith negotiations between the parties
• If unresolved, through arbitration in Mumbai, Maharashtra
• The arbitration shall be conducted in English under the Arbitration and Conciliation Act, 1996

13. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of India. The courts of Mumbai, Maharashtra shall have exclusive jurisdiction over any disputes.

14. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services constitutes acceptance of modified terms.
